User Agreement

Version of 6 November 2026

This User Agreement (hereinafter, the "Agreement") is a public offer and sets out the terms of use of the Telegram bot PingNitro, https://t.me/pingnitrobot (hereinafter, the "Bot"), and of the PingNitro service, access to which is arranged and paid for in the Bot (hereinafter, the "Service"), between the Administration of the Bot (hereinafter, the "Administration") and the User (hereinafter, the "User"). This Agreement supplements the Service Terms of Use. The User accepts the Agreement and the Terms by tapping "I accept" on the consent screen in the Bot (it appears before the free period or payment), and also by paying for access.

1. Subject of the Agreement

1.1. The Administration provides the User with access to the Bot and the Service on the terms set out in this Agreement.

1.2. By tapping "I accept" or paying for access, the User confirms their full and unconditional acceptance of the terms of this Agreement. If the User does not agree with the terms, they must stop using the Bot and the Service.

1.3. This Agreement is a legally binding document. The Service is intended for adult users.

2. Description of the Service

2.1. The PingNitro Bot is intended to speed up and stabilize the network connection from a trading terminal to exchange servers.

2.2. In the Bot, the User arranges and pays for access to the Service for the chosen term and gets the PingNitro app for Windows or macOS. The app routes the connections of trading programs (terminals) to the servers of the exchanges on the Service list over a protected (encrypted) connection through the Administration's servers. The rest of the User's internet traffic does not go through the Service.

2.3. The Service is a digital service: access to a network route for the paid term. The Administration does not promise a specific latency value: it depends on the User's internet provider and equipment and on the exchange itself.

2.4. The list of functions of the Bot and the Service, the list of exchanges and servers may be changed by the Administration without prior notice to the User.

3. Rules of use

3.1. The User undertakes to use the Bot and the Service solely for their intended purpose and within the applicable law, and to comply with the rules of the exchanges.

3.2. The User may not:

3.3. The Administration may restrict or terminate the User's access to the Bot and the Service if the User violates the terms of the Agreement, in case of abuse, and at the request of the law or of payment partners. Restriction of access does not release the User from obligations that arose earlier.

4. Prices and payment

4.1. Access to the Service is paid for 1, 3, 6 or 12 months (30, 90, 180 or 365 days). Prices are in US dollars, at list price: 1 month — $20, 3 months — $60, 6 months — $120, 12 months — $240; the first purchase — with a discount: $20, $51, $96 and $180 respectively; a partner code or promo code may give additional discounts, the total is shown on the payment screen. Current prices — on the pingnitro.com/en/pricing/ page and in the Bot on the "Payment" screen; before paying, the User sees the chosen term and the final amount to pay. When paying by bank card or via SBP, the amount in rubles is calculated at the exchange rate of the payment day, includes the payment partner's fee and is shown before payment. The amount stated in the invoice or payment link when it is issued applies.

4.2. Payment is a one-time payment, without saving the card and without automatic charges. Renewal is a new payment; the Bot reminds the User in advance that access is ending.

4.3. Payment methods are those shown in the Bot on the payment screen. Payments by bank card and via SBP are accepted by the payment partner on its own page, within its limits per payment. The User does not need to provide an email for the payment: if the payment partner needs a buyer identifier, it receives the User's Telegram ID or the email of the User's account on the website.

4.4. Access is provided after the payment is received; the paid term is added to the current access. New users may be offered a free trial period — on the terms shown in the Bot.

5. Refunds

5.1. If access did not work after payment, the service was not provided through the Administration's fault, or a payment was made by mistake, the User writes to support (section 12) with the invoice or payment number; the Administration checks the request and refunds the payment.

5.2. The User may cancel paid access at any time by writing to support: the payment for unused full months of the term is refunded; a month that has started is not refunded. The calculation is described in the "Paid access" section of the Service Terms of Use.

5.3. Refunds are made by the same method as the payment where possible (card or SBP payments — through the payment partner), within 10 days of the request.

5.4. Before disputing a payment with the bank (chargeback), the User contacts support — most issues are resolved faster this way.

6. Liability of the parties

6.1. The Bot and the Service are provided "as is". The Administration strives to keep the route fast and stable, but does not guarantee uninterrupted operation and is not liable for losses caused to the User as a result of using the Bot and the Service, including interruptions, the work of the User's internet provider and equipment, actions of exchanges, Telegram and other third parties.

6.2. The Service is a technical means of communication, not trading advice and not a financial service. The User makes trading decisions and bears their consequences independently and at their own risk. The Administration never asks for exchange API keys or passwords.

6.3. The User bears full responsibility for their actions when using the Bot and the Service and for the consequences of such actions. The Administration is not responsible for the content of information posted by the User in the Bot.

6.4. Limitations of liability do not apply where the law does not allow them for a consumer.

7. Intellectual property

7.1. The PingNitro app, the texts and materials of the Bot and the Service are protected by law. They may not be copied, distributed or resold, and paid access may not be resold, without the Administration's permission.

8. Processing of personal data

8.1. The Administration undertakes to keep confidential the User's personal data obtained in the course of using the Bot and the Service.

8.2. Detailed information on the processing of personal data is contained in the Privacy Policy, which is an integral part of this Agreement.

9. Term and procedure for amending the Agreement

9.1. This Agreement enters into force when the User accepts it and is valid indefinitely.

9.2. The Administration may amend the Agreement. The current version with its date is published at this address, and a link to it is available in the Bot (the /policies command). The User is deemed to have accepted the changes if they continue to use the Bot after their publication. A term paid before the changes is valid on the terms stated at payment.

10. Dispute resolution

10.1. Claims are sent to support (section 12); the Administration replies within 10 days.

10.2. All disputes arising between the Administration and the User in connection with this Agreement are to be resolved in the manner prescribed by the applicable law of the Russian Federation.

11. Other terms

11.1. In everything not provided for by this Agreement, the parties are guided by the applicable law and the Service Terms of Use.

11.2. If any provision of this Agreement is found invalid, this does not affect the validity of the remaining provisions.
